1. Acceptance of Terms

By accessing or using NFTNetworking.com (the "Site"), operated by NFTNetworking ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Site. These Terms constitute a legally binding agreement between you and NFTNetworking.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. Use of the Service

2.1 Eligibility

You must be at least 13 years of age (or the age of digital consent in your jurisdiction, whichever is higher) to use the Site. By using the Site, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2.2 Permitted Use

The Site is provided for informational and networking purposes. You may use the Site to:

  • Browse and search our directory of NFT events, communities, and professional resources.
  • Submit events, communities, or other listings for inclusion in our directory.
  • Subscribe to our newsletter and other communications.
  • Contact us through our contact form for inquiries, partnerships, or support.
  • Access our calendar, map, and other tools for discovering NFT-related activities.

2.3 Prohibited Use

You agree not to use the Site in any way that:

  • Violates any applicable federal, state, local, or international law or regulation.
  • Infringes upon the intellectual property rights, privacy rights, or other rights of any third party.
  • Involves transmitting any advertising, promotional material, spam, chain letters, or other forms of solicitation without our prior written consent.
  • Introduces viruses, trojans, worms, malware, or other harmful material to the Site or its users.
  • Attempts to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, its servers, or any database connected to the Site.
  • Engages in data scraping, data mining, or any automated data collection or extraction methods without our prior written consent.
  • Impersonates or attempts to impersonate NFTNetworking, an NFTNetworking employee, another user, or any other person or entity.
  • Uses the Site to promote fraudulent NFT projects, scams, rug pulls, or any deceptive practices.
  • Engages in any activity that interferes with or disrupts the Site or the experience of other users.

3. User Accounts

While the Site does not currently require user accounts for general browsing, certain features may require you to provide personal information (such as subscribing to our newsletter or submitting listings). You are responsible for:

  • Providing accurate, current, and complete information when submitting forms or communications.
  • Maintaining the confidentiality of any account credentials if account functionality is introduced in the future.
  • Notifying us immediately of any unauthorized use of your information or any other breach of security.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel submissions at our sole discretion, without notice, for any reason, including violation of these Terms.

4. Content

4.1 User-Submitted Content

When you submit content to the Site (including event listings, community submissions, contact form messages, and any other materials), you grant NFTNetworking a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with the operation and promotion of the Site.

You represent and warrant that:

  • You own or have the necessary rights, licenses, and permissions to submit the content.
  • The content does not violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.
  • The content is accurate and not misleading.
  • The content does not contain any material that is defamatory, obscene, illegal, threatening, or otherwise objectionable.

4.2 Our Content

Unless otherwise indicated, the Site and all content and materials therein — including but not limited to the NFTNetworking name and logo, text, graphics, images, designs, page layouts, software, data compilations, and the selection and arrangement thereof — are owned by or licensed to NFTNetworking and are protected by copyright, trademark, trade dress, patent, trade secret, and other intellectual property and proprietary rights laws.

4.3 Third-Party Content

The Site may contain links to third-party websites, content, or services that are not owned or controlled by NFTNetworking. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. The inclusion of any link does not imply endorsement, recommendation, or approval by NFTNetworking. You access third-party websites and services entirely at your own risk.

5. Intellectual Property

All intellectual property rights in the Site and its original content (excluding user-submitted content) are and remain the exclusive property of NFTNetworking and its licensors. The Site is protected by copyright, trademark, and other laws of the United States and international jurisdictions. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of NFTNetworking.

You may not:

  • Copy, modify, or distribute any content from the Site without our prior written permission.
  • Use any data mining, robots, or similar data gathering or extraction methods on the Site.
  • Frame or mirror any portion of the Site without our express written consent.
  • Use the NFTNetworking name, logo, or branding in any way that suggests an affiliation, endorsement, or sponsorship without our written permission.

6. Event and Community Listings

NFTNetworking provides event, community, and resource listings for informational purposes only. We make reasonable efforts to verify the accuracy of listed information, but we do not guarantee that:

  • Event details (dates, times, locations, prices, speakers) are current or accurate at the time of viewing.
  • Listed communities are active, safe, or free from scams or fraudulent activity.
  • External links to event or community platforms are functional or lead to the intended destination.

We strongly recommend that users independently verify event details directly with event organizers before making travel or financial commitments. NFTNetworking is not responsible for any losses, damages, or inconveniences resulting from reliance on information provided on the Site.

7. Disclaimers

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NFTNETWORKING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE SITE.
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NFTNETWORKING DOES NOT PROVIDE FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. ANY INFORMATION ON THE SITE REGARDING NFT PROJECTS, EVENTS, COMMUNITIES, OR PLATFORMS IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSTRUED AS PROFESSIONAL ADVICE. YOU SHOULD CONSULT WITH APPROPRIATE PROFESSIONALS BEFORE MAKING ANY FINANCIAL OR LEGAL DECISIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NFTNETWORKING, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, data, use, goodwill, or other intangible losses.
  • Damages resulting from your access to, use of, or inability to use the Site.
  • Damages resulting from any conduct or content of any third party on or related to the Site.
  • Damages resulting from unauthorized access to or alteration of your transmissions or data.
  • Damages resulting from any events, communities, or activities discovered through the Site.

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00).

9. Indemnification

You agree to defend, indemnify, and hold harmless NFTNetworking, its directors, officers, employees, agents, partners, suppliers, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from or related to:

  • Your use of and access to the Site.
  • Your violation of any term of these Terms.
  • Your violation of any third-party right, including any copyright, trademark, trade secret, or other intellectual property or proprietary right.
  • Any content you submit, post, or otherwise make available through the Site.
  • Any claim that your submitted content caused damage to a third party.

This indemnification obligation will survive the termination of these Terms and your use of the Site.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Site shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

10.2 Dispute Resolution

Before filing any legal claim, you agree to first attempt to resolve any dispute informally by contacting us at legal@nftnetworking.com. We will attempt to resolve the dispute informally within 30 days. If the dispute is not resolved within 30 days, either party may proceed with formal legal proceedings as outlined in Section 10.1.

10.3 Class Action Waiver

To the fullest extent permitted by applicable law, you and NFTNetworking each waive the right to a jury trial and the right to participate in a class action, collective action, private attorney general action, or other representative proceeding of any kind.

11. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

12. Waiver

The failure of NFTNetworking to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of NFTNetworking. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.

13. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and NFTNetworking regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

14. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of NFTNetworking. Any attempt by you to assign or transfer these Terms without such consent will be null and void. NFTNetworking may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

15. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting a prominent notice on the Site. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after any revisions become effective, you agree to be bound by the revised Terms.
